Terms of Use

Quick Summary

Conduit is building experimental brain-computer interface and AI technologies. These Terms explain the rules for using our Site, learning about Conduit, applying for research opportunities, completing screening or booking flows, and communicating with us online.

Some parts of these Terms are especially important: Conduit does not provide medical care through the Site, research opportunities may change or be canceled, information you share may be used for research and product development as described below, and disputes are generally handled through individual arbitration rather than class actions.

These Terms of Use (“Terms”) govern your access to and use of the websites, pages, forms, booking flows, screening flows, content, communications, and online services operated by Conduit Intelligence PBC (“Conduit,” “we,” “us,” or “our”), including condu.it and any related webpages, third-party booking pages, forms, or communications that link to or reference these Terms (collectively, the “Site”).

By accessing or using the Site, submitting information through the Site, booking a research session, clicking to accept or acknowledge these Terms, or otherwise interacting with Conduit online, you agree to these Terms. These Terms include important limitations on Conduit’s liability, your obligation to indemnify Conduit, and a binding arbitration agreement and class action waiver. If you do not agree to these Terms, do not use the Site.

1. About Conduit

Conduit develops brain-computer interface, artificial intelligence, machine learning, and human-computer interaction technologies, including investigational brain-to-text and related technologies. The Site may describe Conduit’s technology, research, products, services, recruiting efforts, research participant opportunities, and related activities.

We provide information on the Site for general informational, recruitment, research, product development, business, and communication purposes.

2. Other Terms That May Apply

Additional terms may apply to particular activities, including participant consent forms, data authorizations, research protocols, study rules, site or facility rules, booking terms, payment terms, privacy notices, employment application terms, vendor agreements, nondisclosure agreements, product terms, or other written agreements.

If you participate in a Conduit study, pilot, test, evaluation, interview, research session, or data collection activity, your participation may be governed by a separate consent form, data authorization, research protocol, or written instructions. If there is a conflict between these Terms and a signed consent form or other written agreement with Conduit, the signed consent form or written agreement will control for the specific activity it covers, and these Terms will continue to apply to all other matters.

Conduit’s Privacy Policy explains how we collect, use, disclose, and protect information. By using the Site, you acknowledge our Privacy Policy.

3. Conduit Does Not Provide Medical Care

The Site does not provide medical advice, diagnosis, treatment, monitoring, emergency services, clinical decision support, health care services, or a substitute for professional medical judgment.

Conduit is not acting as your health care provider through the Site, through any research participant booking flow, or by making any technology, study, or research opportunity available. You should not rely on the Site, Conduit technology descriptions, study materials, research outputs, model outputs, or any Conduit communications for medical, mental health, diagnostic, treatment, monitoring, prevention, or emergency purposes.

If you have a medical emergency, call emergency services.

Conduit’s technologies and research activities may be experimental, developmental, and subject to change. Unless Conduit expressly says otherwise in a signed written agreement, Conduit technologies are not approved, cleared, or authorized for any medical, diagnostic, therapeutic, assistive, safety-critical, or emergency use.

4. Research Sessions and Participant Opportunities

The Site may allow individuals to learn about, apply for, screen for, schedule, reschedule, cancel, or book paid or unpaid research sessions, interviews, pilots, evaluations, or data collection activities.

Submitting a form, requesting a booking, receiving a booking confirmation, passing any preliminary screening, or communicating with Conduit does not guarantee that you will be accepted, permitted to participate, complete a session, receive any particular payment, receive any result or benefit, or be eligible for future sessions.

Conduit may accept, decline, reschedule, cancel, pause, end, remove you from, or stop any booking or participation opportunity at any time for any reason, including eligibility, safety, identity verification, scheduling, technical, capacity, study-integrity, data-quality, confidentiality, facility-access, premises, misconduct, or business reasons.

If you attend an in-person session, you must follow Conduit’s instructions, facility rules, safety rules, confidentiality requirements, and reasonable directions from Conduit personnel. You may not enter restricted areas, remain on the premises outside your scheduled session time, disrupt building operations, disturb other occupants, bring unauthorized guests, record or photograph the premises or session, or engage in conduct that Conduit considers unsafe, disruptive, unlawful, or inconsistent with study integrity.

5. Your Status as a Participant

If you participate in a Conduit research session or data collection activity, you are participating as a voluntary research participant for limited research, testing, evaluation, or data collection purposes unless Conduit separately agrees otherwise in writing.

You are not an employee, intern, contractor, consultant, agent, representative, service provider, worker, trainee, or joint venturer of Conduit by using the Site, submitting information, booking a session, or participating in a research session. Any participant payment is an honorarium or participation payment for time, inconvenience, and study participation, not wages, salary, benefits, expense reimbursement, or compensation for services.

You may not bind Conduit, act on Conduit’s behalf, or represent that you work for Conduit.

6. Eligibility

You may use the Site only if you can form a legally binding agreement with Conduit, are legally permitted to use the Site, and are not barred from using the Site under applicable law or any prior restriction imposed by Conduit.

Research participation is intended for individuals who are at least 18 years old unless Conduit provides a separate written process for minors with required parental or guardian consent.

By using the Site or submitting information, you represent that the information you provide is accurate, complete, current, and not misleading, and that you will promptly update information if it changes or becomes inaccurate.

7. Bookings, Cancellations, and Payments

Research session availability, location, duration, payment amounts, payment method, eligibility criteria, screening requirements, limits on repeat participation, arrival windows, cancellation rules, and other session details may be described on the Site, in booking materials, payment materials, or participant consent materials.

Conduit may change availability, payment amounts, payment methods, eligibility criteria, screening requirements, scheduling rules, cancellation rules, and booking procedures at any time, subject to any signed consent form or other written agreement that expressly states otherwise.

Payment, if any, is subject to completion of applicable study requirements to Conduit’s satisfaction, identity verification, compliance with study instructions, applicable consent terms, tax or payment onboarding, and Conduit’s payment procedures. Conduit may withhold, reduce, delay, or reverse payment in cases of fraud, identity-verification failure, duplicate participation, ineligibility, late arrival, early departure, no-show, misconduct, safety issues, material violation of instructions, or conduct that compromises confidentiality, data integrity, study integrity, facility access, or building operations.

You are responsible for any taxes, reporting obligations, payment-account requirements, payment-provider fees, and payment-provider terms that may apply to amounts you receive.

8. Information You Share With Us

You may submit information to Conduit through the Site, including contact information, booking information, eligibility information, screening information, health-related information you choose to provide, communications, feedback, questions, messages, files, recordings, images, or other materials (“User Submissions”).

You represent that you have all rights, consents, and permissions necessary to provide your User Submissions and that your User Submissions are accurate, lawful, not misleading, not confidential to any third party unless you are authorized to share them, and do not violate the rights of any person.

You grant Conduit a worldwide, royalty-free, fully paid-up, transferable, sublicensable license to host, store, copy, process, analyze, use, disclose, retain, de-identify, aggregate, and create derivative works from User Submissions for the purposes of operating the Site, communicating with you, evaluating eligibility, administering bookings, conducting research and business operations, developing, training, testing, validating, improving, commercializing, and supporting Conduit products, services, models, datasets, and technologies, enforcing these Terms, protecting Conduit and others, and complying with law.

Subject to applicable law and Conduit’s Privacy Policy, Conduit may retain User Submissions for as long as reasonably necessary for the purposes described in these Terms. This includes maintaining research records, supporting legal and compliance needs, protecting safety and study integrity, improving Conduit technologies, and preserving evidence of consent, authorization, eligibility, communications, and participation.

Do not submit information that you do not want Conduit to receive, process, retain, disclose, or use as described in these Terms and the Privacy Policy.

9. Feedback

If you provide ideas, suggestions, comments, improvements, requests, or other feedback about Conduit, the Site, our technology, our research, or our products or services (“Feedback”), you grant Conduit a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free, fully paid-up license to use, disclose, reproduce, modify, create derivative works from, commercialize, and otherwise exploit the Feedback for any purpose without restriction, compensation, attribution, or obligation to you.

Conduit has no obligation to use Feedback.

10. Our Technology and Content

The Site and all content, design, text, graphics, images, videos, audio, logos, trademarks, service marks, software, code, models, algorithms, datasets, prompts, workflows, technology descriptions, interfaces, research materials, forms, and other materials made available through the Site are owned by Conduit or its licensors and are protected by intellectual property and other laws.

Subject to these Terms, Conduit grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site solely for personal, informational, and lawful purposes authorized by Conduit.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, scrape, crawl, frame, mirror, reproduce, publicly display, publicly perform, create derivative works from, train models on, benchmark against, or otherwise exploit the Site or Conduit content except as expressly permitted by Conduit in writing.

Conduit does not grant you any rights except those expressly stated in these Terms.

11. Trademarks

Conduit’s name, logos, product names, service names, trade dress, domain names, social media identifiers, and related marks are trademarks or service marks of Conduit. You may not use Conduit marks without Conduit’s prior written permission, including in any manner that suggests affiliation, endorsement, sponsorship, employment, or agency.

12. Confidential Information

The Site, booking process, screening process, communications, and any research session may include or provide access to non-public information about Conduit, its technology, research, products, services, models, datasets, prompts, workflows, business plans, study procedures, premises access, or operations. If Conduit identifies information as confidential, non-public, proprietary, restricted, or otherwise protected, or if the nature of the information reasonably indicates that it is confidential, you may not disclose, copy, record, photograph, screenshot, publish, use, or share that information except as expressly authorized by Conduit in writing.

Nothing in these Terms limits disclosures protected by law, reports to government agencies, participation in investigations, or truthful statements about your own experience, provided you do not disclose Conduit trade secrets, confidential information, private information about others, security-sensitive information, premises-access information, or non-public study materials except where legally protected.

The Site may include links to third-party websites, tools, platforms, calendars, booking providers, payment processors, communications services, maps, social media platforms, or other services.

Third-party services are controlled by third parties, not Conduit. Conduit is not responsible for third-party services, content, policies, practices, availability, security, acts, omissions, fees, or payment delays. Your use of third-party services may be governed by separate terms and privacy policies, and Conduit does not endorse or control those terms or policies.

15. SMS and Email Communications

If you provide your phone number or email address, Conduit may contact you about bookings, research sessions, eligibility, reminders, updates, administrative matters, and other service-related purposes.

You may opt out of SMS messages by replying STOP. For SMS assistance, reply HELP. Message and data rates may apply. Message frequency may vary.

Opting out of marketing or optional communications may not stop transactional, administrative, safety, legal, or service-related communications.

16. Privacy

Conduit’s Privacy Policy explains how we collect, use, disclose, retain, and protect information. By using the Site, you acknowledge the Privacy Policy, as updated from time to time.

You are responsible for reviewing the Privacy Policy before submitting personal, sensitive, health-related, biometric, confidential, or proprietary information through the Site.

17. Changes to the Site

Conduit may update, modify, suspend, or discontinue the Site, any content, any booking flow, any participant opportunity, or any feature at any time, with or without notice.

Conduit has no obligation to maintain the Site or any particular feature, content, availability, research opportunity, or functionality.

18. Changes to These Terms

Conduit may update these Terms from time to time. The updated Terms will be posted on the Site with a new effective date, and Conduit may provide additional notice where Conduit determines it is appropriate or legally required.

Your continued access to or use of the Site, submission of information, booking of a session, or participation in a booking flow after updated Terms are posted means you accept the updated Terms. If you do not agree to the updated Terms, stop using the Site and do not submit information or book sessions.

19. Important Disclaimers

The Site and all content, information, materials, technology descriptions, research descriptions, booking flows, communications, participant opportunities, and services made available through the Site are provided “as is” and “as available.”

To the fullest extent permitted by law, Conduit disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, availability, security, quiet enjoyment, and uninterrupted or error-free operation.

Conduit does not warrant that the Site, booking flows, communications, participant opportunities, technology descriptions, research descriptions, or other materials will be accurate, complete, current, secure, available, uninterrupted, error-free, or free of viruses or harmful components.

Technology descriptions, research descriptions, product descriptions, study descriptions, timelines, performance statements, and other statements on the Site may be preliminary, aspirational, incomplete, or subject to change. Conduit does not guarantee that any research, product, service, model, technology, dataset, study, feature, result, or capability will be developed, released, approved, cleared, authorized, commercialized, available, accurate, or perform as described.

20. Limits on Liability

To the fullest extent permitted by law, Conduit and its officers, directors, employees, contractors, affiliates, agents, representatives, successors, assigns, service providers, licensors, collaborators, partners, investors, and landlords will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost data, loss of goodwill, business interruption, reputational harm, emotional distress, personal injury, property damage, travel costs, cancellation costs, lost wages, lost benefits, or loss of opportunity, arising out of or relating to the Site, these Terms, your use of the Site, your inability to use the Site, communications with Conduit, bookings, screening, payments, participant opportunities, research sessions, facility access, or third-party services.

To the fullest extent permitted by law, Conduit’s total liability for any claim arising out of or relating to the Site, these Terms, communications with Conduit, bookings, screening, payments, participant opportunities, research sessions, facility access, or third-party services will not exceed $100 or the amount you paid Conduit to use the Site, whichever is greater.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

21. Your Responsibility for Certain Claims

You agree to defend, indemnify, and hold harmless Conduit and its officers, directors, employees, contractors, affiliates, agents, representatives, successors, assigns, service providers, licensors, collaborators, partners, investors, landlords, and property managers from and against any claims, demands, actions, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and investigation costs, arising out of or relating to:

Conduit may control the defense and settlement of any matter subject to indemnification, and you must cooperate with Conduit’s defense. You may not settle any matter in a way that imposes any obligation, admission, restriction, or liability on Conduit without Conduit’s prior written consent.

22. Governing Law and Court Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, communications with Conduit, bookings, screening, payments, participant opportunities, research sessions, facility access, or third-party services will be governed by the laws of the State of California, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement below.

Except for disputes required to be arbitrated under these Terms, any dispute arising out of or relating to these Terms, the Site, communications with Conduit, bookings, screening, payments, participant opportunities, research sessions, facility access, or third-party services will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction and venue of those courts. You and Conduit waive any objection to those courts based on inconvenient forum or lack of personal jurisdiction or venue.

23. Dispute Resolution and Class Action Waiver

Please read this section carefully because it affects your legal rights. To the fullest extent permitted by law, you and Conduit agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, communications with Conduit, bookings, screening, payments, participant opportunities, research sessions, facility access, third-party services, or the relationship between you and Conduit will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if the claim qualifies.

The American Arbitration Association will administer the arbitration under its Consumer Arbitration Rules, unless those rules are unavailable or the parties agree otherwise. The arbitration will be conducted in San Francisco County, California, by telephone, by videoconference, or based on written submissions, as the arbitrator determines. The arbitrator will have authority to award the same individual relief that a court could award, subject to these Terms.

You and Conduit agree that each may bring claims against the other only on an individual basis and not as a plaintiff, claimant, or class member in any class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any class, collective, consolidated, private attorney general, or representative proceeding, except to the extent this waiver is prohibited by applicable law.

The arbitrator, and not any federal, state, or local court or agency, will have exclusive authority to resolve disputes about the interpretation, applicability, enforceability, formation, or scope of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable. A court may decide whether the class action waiver above is enforceable.

You may opt out of this arbitration agreement by sending written notice to booking@condu.it with the subject line “Arbitration Opt-Out” within 30 days after the later of the Effective Date of these Terms or your first use of the Site. Your notice must include your name and the email address or phone number you used with Conduit. If you opt out, neither you nor Conduit will be bound by this arbitration agreement, but the rest of these Terms will still apply.

24. Ending or Limiting Access

Conduit may suspend or terminate your access to the Site, cancel bookings, end participation, restrict facility access, withhold or reduce payments, or block future participation at any time, with or without notice, if Conduit believes you violated these Terms, created risk for Conduit or others, submitted false or misleading information, interfered with the Site, a research session, facility access, building operations, or study integrity, or used the Site in a way Conduit considers inappropriate.

Sections that by their nature should survive termination will survive, including provisions about user submissions, intellectual property, confidentiality, feedback, prohibited conduct, disclaimers, limitation of liability, indemnification, governing law, venue, arbitration, class action waiver, and dispute resolution.

25. If Part of These Terms Cannot Be Enforced

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions will remain in effect to the fullest extent permitted by law.

26. No Waiver by Conduit

Conduit’s failure to enforce any provision of these Terms does not waive Conduit’s right to enforce that provision or any other provision later.

27. Transfers and Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations under these Terms without Conduit’s prior written consent, and any attempted assignment, delegation, or transfer without that consent is void.

Conduit may assign, delegate, or transfer these Terms, in whole or in part, without restriction or notice, including in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, corporate restructuring, or similar transaction.

28. Complete Agreement

These Terms, together with the Privacy Policy and any additional terms that apply to particular activities, are the entire agreement between you and Conduit about your use of the Site, communications with Conduit, booking flows, and participant opportunities, except for any signed consent form or other written agreement that expressly governs a specific activity.
